These Terms & Conditions govern your access to and use of the Magic Tax website and Magic Tax software service.
Magic Tax is designed and developed by Kingfisher Associates (UK) Ltd, trading as KFA Connect ("KFA Connect", "we", "us" or "our").
By registering for, accessing or using Magic Tax, you agree to these Terms & Conditions. If you do not agree to these terms, you should not use the service.
1. About Magic Tax
Magic Tax is a software service designed to assist businesses with the submission of VAT returns to HM Revenue & Customs ("HMRC") under Making Tax Digital for VAT.
Magic Tax enables users to upload VAT data in the supported format, review VAT return information and submit that information electronically to HMRC.
Magic Tax is a software tool and does not provide accounting, taxation, financial or legal advice.
You remain responsible for ensuring that Magic Tax is suitable for your business and circumstances.
2. Your Responsibilities
You are responsible for the accuracy, completeness and validity of all information and data entered into, uploaded to or submitted through Magic Tax.
Before submitting a VAT return to HMRC, you must check that the information displayed within Magic Tax is complete and correct.
KFA Connect does not verify the underlying accounting information, transactions, tax treatment or VAT calculations contained within data supplied by you.
Submission through Magic Tax does not remove or reduce your responsibility for the accuracy of your VAT return or your obligations to HMRC.
Where appropriate, you should obtain advice from your accountant, tax adviser or other suitably qualified professional.
3. HMRC Authorisation
To submit VAT returns using Magic Tax, you will be required to authorise the software to communicate with HMRC.
You are responsible for ensuring that you have the necessary authority to access and submit information for each business or VAT registration that you use with Magic Tax.
You must not use Magic Tax to access or submit information for any organisation or individual without appropriate authorisation.
4. Registration and Accounts
You must provide accurate and current information when registering for Magic Tax.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity carried out through your account.
You must notify KFA Connect promptly if you believe that your account or credentials have been compromised or used without authorisation.
You must not attempt to gain unauthorised access to Magic Tax, another user's account, HMRC systems or any associated systems or infrastructure.
5. Free Trial
Eligible new customers may use Magic Tax free of charge for the trial period stated on the Magic Tax website.
Unless otherwise agreed in writing, the free trial lasts for three months or until your first VAT submission using Magic Tax, whichever occurs first.
No payment details are required to begin the free trial and there is no obligation to purchase a licence when the trial ends.
At the end of the trial period, a valid paid licence will be required to continue using Magic Tax.
KFA Connect reserves the right to withdraw or amend the availability or terms of a free trial where reasonably necessary. This will not affect any paid licence already in force.
6. Licences and Fees
Magic Tax is provided on an annual licence basis unless otherwise agreed in writing.
The applicable licence fee will be the price confirmed when you purchase or renew your licence. Current pricing may also be displayed on the Magic Tax website.
Prices are exclusive of VAT unless stated otherwise.
Your Magic Tax licence gives your organisation a non-exclusive, non-transferable right to use the service for its intended business purpose for the duration of the licence.
You may not resell, sublicense, copy, modify, reverse engineer or commercially exploit Magic Tax except where expressly permitted by law or agreed by KFA Connect in writing.
7. Renewal
Magic Tax licences are normally renewed annually.
KFA Connect will contact the registered licence owner regarding renewal before the licence expiry date.
Payment must be received in accordance with the payment terms shown on the relevant invoice.
If a licence is not renewed, access to some or all Magic Tax functionality may cease when the current licence expires.
Renewal pricing may differ from the price originally paid. Any revised price will be communicated before renewal.
8. Availability of Magic Tax
We aim to make Magic Tax available reliably, but we do not guarantee that the service will be uninterrupted or error-free at all times.
Access may occasionally be unavailable due to planned maintenance, emergency maintenance, technical problems, internet or communications failures, third-party services or circumstances outside our reasonable control.
Any planned downtime will be published on the website, including any planned downtime for HMRC’s system (since the Magic Tax solution is reliant upon the HMRC service being fully operational).
Where reasonably practicable, we will seek to minimise disruption to the service.
9. HMRC Services
Magic Tax communicates with systems and services operated by HMRC.
KFA Connect does not control HMRC systems and cannot guarantee their availability, performance or response times.
Magic Tax may therefore be temporarily unable to retrieve information from, or submit information to, HMRC because of HMRC maintenance, outages, API changes or other circumstances outside KFA Connect's control.
You are responsible for allowing sufficient time to prepare and submit your VAT return before any applicable HMRC deadline.
KFA Connect will not be responsible for a missed filing deadline where a submission cannot be completed because of the unavailability or failure of HMRC systems or other circumstances outside our reasonable control.
10. Software Updates
We may update Magic Tax from time to time to improve functionality, security, performance or compatibility, or to reflect changes to HMRC requirements and services.
Features may be amended where reasonably necessary to maintain or improve the service or to comply with legal, regulatory or technical requirements.
We will seek to avoid making changes that materially reduce the core functionality of the service during a paid licence period.
11. Supported Data and Third-Party Systems
Magic Tax is designed to work with the data formats and systems described on the Magic Tax website and within the relevant user documentation.
You are responsible for ensuring that data supplied to Magic Tax is generated and provided in the required format.
KFA Connect is not responsible for errors caused by changes made to source data, unsupported file formats, third-party software, accounting systems, dealer management systems or other systems outside our control.
References to third-party products, services or organisations do not imply endorsement unless expressly stated.
12. Support
Magic Tax customers may access support in accordance with the support arrangements communicated by KFA Connect.
We will use reasonable efforts to investigate and resolve reported software issues but cannot guarantee that every issue will be resolved within a particular timeframe unless a specific service level has been agreed separately in writing.
Support does not include accounting, taxation or legal advice.
13. Intellectual Property
Magic Tax, including its software, design, functionality, documentation, branding, website content and associated materials, is owned by or licensed to KFA Connect and is protected by applicable intellectual property laws.
Your licence gives you permission to use Magic Tax. It does not transfer ownership of any intellectual property rights to you.
You must not reproduce, distribute, modify, copy, resell or commercially exploit Magic Tax or its content without our prior written permission, except where permitted by law.
14. Data Protection and Privacy
We process personal data in accordance with applicable UK data protection legislation and our Privacy Policy.
Our Privacy Policy explains what personal information we collect, how it is used, how long it may be retained and your rights in relation to your personal data.
Our use of cookies and similar technologies is explained separately in our Cookie Policy.
15. Security
We take reasonable technical and organisational measures to protect Magic Tax and information processed through the service.
However, no internet-based system can be guaranteed to be completely secure or continuously available.
You are responsible for maintaining appropriate security on your own devices, networks, email accounts and systems used to access Magic Tax.
16. Limitation of Liability
Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the above, KFA Connect will not be responsible for indirect or consequential loss, loss of profits, loss of revenue, loss of business, loss of anticipated savings or loss arising from inaccurate information supplied by the customer.
KFA Connect is not responsible for the accuracy of VAT data submitted by you or for tax, accounting or regulatory decisions made on the basis of that information.
We are also not responsible for failures or delays caused by HMRC systems, internet service providers, third-party software or other circumstances outside our reasonable control.
To the extent permitted by law, KFA Connect's total liability arising from your use of Magic Tax will not exceed the total licence fees paid by your organisation for Magic Tax during the 12 months immediately preceding the event giving rise to the claim.
17. Suspension or Termination
We may suspend or terminate access to Magic Tax where:
licence fees remain unpaid;
your licence has expired;
we reasonably believe the service is being misused;
there has been a material breach of these Terms & Conditions;
continued access could create a security or legal risk; or
we are required to do so by law or a regulatory authority.
Where reasonably practicable, we will provide notice before suspending or terminating a paid service.
18. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes to Magic Tax, HMRC requirements, legislation or our business practices.
The latest version will be published on the Magic Tax website together with the date it was last updated.
Material changes affecting an existing paid licence will be communicated where appropriate.
19. No Partnership with HMRC or Keyloop
Magic Tax is developed and supplied by KFA Connect.
Unless expressly stated otherwise, references to HMRC, Keyloop or any other third-party organisation, product or trademark are for identification and compatibility purposes only and do not imply ownership, partnership or endorsement.
Other software products may be available that provide similar functionality.
20. Entire Agreement
These Terms & Conditions, together with any applicable order, licence agreement and policies referred to within them, constitute the agreement between you and KFA Connect in relation to your use of Magic Tax.
If separate written commercial terms have been agreed between your organisation and KFA Connect, those terms will take precedence where they conflict with these Terms & Conditions.
21. Governing Law and Jurisdiction
These Terms & Conditions are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction in relation to any dispute arising from or connected with these Terms & Conditions or the use of Magic Tax.
